Summary:The past 2 years have been active ones for mergers and acquisitions involving Canadian firms. An article briefly describes the Canadian regulatory regime applicable to takeover bids and identifies some key elements of recent transactions. The conduct of takeover bids in Canada is regulated by provincial securities legislation. If the target company is incorporated under the Canada Business Corporations Act, the requirements of that Act must be met.
